Within 2008 ADMD maintained its current staff and transactional volume one step further. This year we have contributed to dealings worth over €1,000,000,000 earning fees over €3,000,000. Our general client portfolio still keeps its balance of 30% local firms’ earnings and 70% of earnings from foreign clients and foreign investors in Turkey. Since our Dispute Resolution departments’ profits had also grown rapidly, the portion of DR services in our portfolio is now approximately 25% compared with, 40% from Deals and M&A, 15% from Consulting and 20% from Corporate Affairs. We have served for 28 new Clients (15 new foreign direct investors) among 187 dealings within last year of which 54 are served corporate affairs’ services annually.

In 2008 the most significant administrative filing was regarding a tax dispute to Council of State involving customs tax applications to agricultural seed importers that amounts to €35,000,000 in volume.

The most significant asset financing inquiry that ADMD assisted for in 2008 was regarding automotive industry. ADMD has provided consultancy for major automotive importers for their asset financing and credit insurance transactions.

In 2008 ADMD had provided consulting for real estate development firms for their investments amounting to €300,000,000 this year in total. Due to changes in legislation for real estate investment by foreigners within 2008 the deals became more complex and more demanding for legal assistance.

Our dispute resolution team has generated approximately 25% of our overall revenues for 2008.

ADMD’s major litigation filings were regarding tax disputes in 2008. ADMD has filed over 100 new lawsuits for accrued corporate tax annulments and customs tax applications.

ADMD assisted 25 new foreign companies with their first-entry into the Turkish market in 2008. The capital volume of such investments amounted to €42,000,000. Our corporate department assisted these new investors with services from incorporation to financing and corporate governance.

LEGAL SERVICES REGARDING THE TURKISH COMMERCIAL CODE

  • Preparation, realization and registration of the Partners Board meetings and resolutions,
  • Preparation of the Signature Circulars and necessary amendments,
  • Realization of the Amendments of the Articles of Association,
  • The applications to the Ministry of Industry and Commerce and other official or semi-official institutions for the necessary permits and the notifications,
  • The applications to the General Directorate of Foreign Investment Department for the necessary permits and the notifications and following up of the applications,
  • Providing legal opinions on the penal liabilities of the directors and shareholders.

CONTRACT LAW APPLICATIONS

  • Reviewing, amending, commenting on the existing commercial agreements including construction, architectural design, contractor, supply, logistics agreements etc. and preparation of new commercial agreements,
  • Reviewing, amending, commenting on the existing lease contracts and preparation of new lease agreements,
  • Providing legal advice regarding the matters that rise from the application of all contracts,
  • Translation of contracts from English to Turkish and Turkish to English in accordance with legal terminology,
  • Presentation of legal opinions on any probable conflicts concerning planned contracts and company transactions,
  • Handling of contractual relationships among shareholders, investors, debtors and creditors.

PROVIDING LEGAL SERVICES REGARDING THE LABOR CODE

  • Drafting, amending, reviewing and commenting on individual service contracts for employment and labor,
  • Drafting other declarations, directions and/or agreements such as Confidentiality Agreements, Agreements on Moral Values, Operational Definitions, Representative Assignments etc.,
  • Providing legal opinion on current and possible disputes with employees with respect to Labor Law,
  • Drafting and amending contracts to be used for foreign employees with respect to Labor Code and foreign investment regulations.

INTELLECTUAL PROPERTY LAW

  • Preparation and review of Assignment, Franchising, Licensing, Know-how, Technical Assistance and alike agreements for the purposes of assignment, transfer or use of intellectual property rights of brand names, copyrights, industrial designs and patents etc.
  • Providing legal opinion on disputes about and infringements of intellectual property rights, General, specific or ongoing advice on industrial and intellectual property matters,
  • Subject to individual registration fees, registration of intellectual property rights in Turkish Patent Institute.

CONSUMER LAW APPLICATIONS

  • Providing legal opinions about the regulations on consumer protection and their applications,
  • Drafting answers to written complaints from consumers and providing mediation service,
  • Providing legal opinions on current and possible claims raised by consumers.

COMPETITION LAW SERVICES

  • Submitting necessary applications for notifications, approvals, exemption requests etc. to Competition Authority,
  • Drafting new contracts and reviewing and amending existing contracts in compliance with competition regulations,
  • Providing legal opinions on issues of competition law.

LEGAL SERVICES ON TAX LAW

  • Providing legal opinions on tax liabilities of Company transactions,
  • Providing legal opinion on current and possible disputes based on tax law.
